Overview

Vinay is a senior capital markets partner with 30 years’ experience of advising on debt, equity and structured finance transactions. His clients include financial institutions and corporates, and his broad experience allows him to provide innovative solutions to financing and investment issues across the spectrum of asset classes, including equities, funds, credit and commodities (including carbon allowances).
 
Vinay is a member of the firm’s global commodities group and previously headed the firm’s derivatives and structured products team in London.
 
Vinay has extensive experience across both OTC and securitised derivatives and over the years has driven forward the use of structured finance techniques in capital markets transactions, from regulatory capital issuance through to large exchange-traded product platforms and emerging market loan syndication through SPVs. 
 
His time on secondment at Bankers Trust in the late 1990s and Credit Suisse in the early 2000s has enabled Vinay to better understand the commercial needs of clients and his representation of corporate clients on the impact of the European Market Infrastructure Regulation (EMIR) has also given him an insight into the Treasury function at large Corporates.

 
Work highlights

Vinay has led on many market-leading OTC and securitised derivatives matters. These include advising:

  • The Dealer Group for SPIRE securitised note programme, the leading multi-dealer securities platform in the world, and regularly advising over 18 of the world’s largest banks on their structured financing needs
  • A multinational corporate on all aspects of derivatives regulation after the implementation of EMIR and Dodd Frank, including, most recently, around the derivatives aspects of the disposal of part of the business, together with the preparation of their template ISDA Master Agreement and on-going negotiation of that template with new counterparties
  • Various banks in relation to blended finance transactions, primarily involving the raising for debt by Emerging Markets sovereign entities with the benefit of credit insurance wraps by multi-national agencies
  • Banks and asset managers in relation to carbon backed structured finance transactions, both as investor products and as a financing solution
  • A number of banks in relation to the issue of fund linked or fund collateralised securities through orphan SPVs
  • Both US and European banks in respect of repackagings of single and portfolios of loans, often involving overlays of TRS or repo financing
 

 

Education and qualifications

Vinay studied law at the University of Birmingham.

 

He speaks English and Gujarati.
